By creating an account, accessing, or using the ScalpEx platform ("Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and the Risk Disclaimer contained herein. If you do not agree with any part of these terms, you must not use the Service.

These terms constitute a legally binding agreement between you ("User," "you," or "your") and ScalpEx ("Company," "we," "us," or "our"). Your continued use of the Service following any modifications to these terms constitutes acceptance of the revised terms.

2. Service Description

ScalpEx provides an automated cryptocurrency scalping bot platform that connects to your Coinbase Advanced Trade account via API. The Service includes:

• Automated scalping bot execution using technical indicators (EMA crossovers, RSI, Bollinger Bands)
• Configurable stop-loss and take-profit barriers
• Real-time trade monitoring and portfolio analytics
• AI-generated trade analysis and market summaries
• Trading on supported pairs: BTC/USDT, ETH/USDT, and SOL/USDT

The Service operates exclusively through the Coinbase Advanced Trade API. ScalpEx does not custody, hold, or have direct access to your funds. All trades are executed on your Coinbase account using your own API credentials.

3. Eligibility

To use the Service, you must: (a) be at least 18 years of age or the age of legal majority in your jurisdiction; (b) have the legal capacity to enter into a binding agreement; (c) not be a resident of any jurisdiction where cryptocurrency trading or automated trading services are prohibited; (d) have a valid Coinbase Advanced Trade account in good standing; and (e) comply with all applicable laws and regulations in your jurisdiction regarding cryptocurrency trading.

You are solely responsible for determining whether your use of the Service is legal in your jurisdiction. ScalpEx makes no representations regarding the legality of the Service in any particular jurisdiction.

4. User Accounts & API Keys

You are responsible for maintaining the confidentiality of your account credentials and Coinbase API keys. Your API keys are encrypted and stored securely; however, you acknowledge that providing API access to any third-party service carries inherent risk.

You agree to: (a) provide accurate and complete information when creating your account; (b) use API keys with appropriate permissions (trade-only, no withdrawal access recommended); (c) immediately notify us of any unauthorized access to your account; (d) not share your account with any other person; and (e) not use the Service for any unlawful purpose.

5. Subscriptions & Payments

Access to the Service requires an active subscription. Subscription fees are payable in USDT (Tether) cryptocurrency on the Ethereum or Polygon networks. All payments are verified on-chain and are non-refundable once confirmed on the blockchain.

Subscription plans renew on a monthly basis. You may cancel your subscription at any time; however, no partial refunds will be issued for unused portions of a billing period. ScalpEx reserves the right to modify subscription pricing with 30 days' advance notice.

You acknowledge that cryptocurrency transactions are irreversible. Once a USDT payment is confirmed on the blockchain, it cannot be reversed or refunded through the blockchain. Any refund requests will be handled at ScalpEx's sole discretion.

7. No Guarantee of Profits

ScalpEx makes absolutely no guarantees, representations, or warranties regarding the profitability of the Service. Historical performance, backtesting results, or any performance metrics displayed on the platform are provided for informational purposes only and do not guarantee future results.

Any examples of potential profits or performance are hypothetical and should not be construed as a promise or guarantee. The actual results you achieve will depend on many factors, including but not limited to market conditions, your configuration settings, the amount of capital deployed, and timing.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SCALPEX, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your use of or inability to use the Service
• Any trades executed or not executed by the automated bot
• Unauthorized access to or alteration of your data or API keys
• Any third-party conduct or content on the Service
• Market losses, regardless of whether we were advised of the possibility of such damages
• API failures, network outages, or technical malfunctions
• Errors in the trading algorithm or signal generation

In no event shall ScalpEx's total liability to you for all claims exceed the amount you paid in subscription fees during the twelve (12) months preceding the claim.

9. User Responsibilities

As a user of the Service, you are solely responsible for: (a) understanding the risks associated with cryptocurrency trading and automated trading systems; (b) configuring your bot settings, including stop-loss and take-profit parameters, in accordance with your risk tolerance; (c) monitoring your account and open positions regularly; (d) ensuring your Coinbase account has sufficient funds for trading; (e) complying with all applicable tax obligations arising from your trading activity; (f) maintaining the security of your API keys and account credentials; and (g) making your own independent trading decisions.

ScalpEx is a tool that executes trades based on algorithmic signals. It is not a financial advisor, and the Service does not constitute financial, investment, tax, or legal advice.

10. Intellectual Property

All intellectual property rights in the Service, including but not limited to the trading algorithms, software, user interface, documentation, and branding, are owned by ScalpEx. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service for its intended purpose during the subscription period.

You may not: (a) reverse engineer, decompile, or disassemble any part of the Service; (b) copy, modify, or create derivative works based on the Service; (c) sublicense, lease, or transfer your access to any third party; or (d) use the Service to develop a competing product.

11. Termination

ScalpEx reserves the right to suspend or terminate your account at any time, with or without cause, and with or without notice. Grounds for termination include but are not limited to: violation of these terms, fraudulent activity, abuse of the Service, or non-payment of subscription fees.

Upon termination, the bot will cease all trading activity on your behalf. You are responsible for managing any open positions on your Coinbase account after termination. No refunds will be issued for the remaining subscription period upon termination for cause.

12. Privacy & Data

ScalpEx collects and processes personal data necessary to provide the Service, including your account information, trading activity, and API credentials. API keys are encrypted at rest. We do not sell or share your personal data with third parties except as necessary to provide the Service or as required by law.

Trading data and performance metrics are stored to provide analytics and improve the Service. You may request deletion of your data by contacting us, subject to any legal retention requirements.

13. Modifications to Terms

ScalpEx reserves the right to modify these Terms of Service at any time. Material changes will be communicated via email or through the platform with at least 14 days' notice. Your continued use of the Service after the effective date of any modifications constitutes acceptance of the updated terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which ScalpEx is incorporated, without regard to its conflict of law provisions. Any disputes arising from these terms or the Service shall be resolved through binding arbitration in accordance with applicable arbitration rules.
